Terms of Service

Effective date: October 20, 2026

These Terms of Service (“Terms”) govern access to viralon.online (the “Website”) and services provided by VIRALON LLC (“Viralon,” “we,” “us,” or “our”).

“You” means the person using the Website or purchasing our services, or the organisation that person is authorised to represent.

1. Agreement to these Terms

You agree to these Terms when you expressly accept them, including through an agreement or order that incorporates them. If you act on behalf of an organisation, you confirm that you have authority to bind that organisation.

A signed service agreement, statement of work, or accepted proposal may contain additional terms. If there is a conflict, that project agreement controls for the relevant services.

2. Our services

Viralon provides technology and marketing services, including:

  • Mobile application development and publishing support.
  • Native iOS application audits.
  • Product strategy and technical planning.
  • Marketing strategy for mobile applications.
  • Affiliate marketing and publisher programme support.
  • Paid and organic growth campaigns.
  • Analytics, reporting, and conversion optimization.

The deliverables, scope, schedule, fees, and responsibilities for each engagement will be described in a written project agreement.

Submitting an enquiry or selecting “Get Started” does not, by itself, create a service engagement.

3. Proposals, prices, and payment

Website prices describe the advertised service packages. The accepted proposal or project agreement confirms the price and included scope for your engagement.

Unless otherwise stated, prices are in US dollars. Payment schedules and due dates will be specified in the project agreement or agreed invoice terms.

Advertising spend, affiliate commissions, hosting, domains, app store accounts, software subscriptions, third-party licences, and applicable taxes are excluded unless expressly included in writing.

We will obtain your approval before incurring additional expenses on your behalf.

If an undisputed payment becomes overdue, we may suspend the affected services after written notice and a reasonable opportunity to pay. A suspension may affect delivery dates.

4. Your responsibilities

You agree to:

  • Provide accurate project information and timely feedback.
  • Supply the materials, permissions, and account access reasonably needed for the agreed work.
  • Ensure that you have the necessary rights to content, software, trademarks, data, and other materials you provide.
  • Review deliverables and approve materials within agreed timeframes.
  • Maintain responsibility for your business operations, products, pricing, customer commitments, and legal obligations.
  • Use secure methods to provide account access and avoid sharing credentials unnecessarily.

Delays in providing required information, access, or approvals may require changes to the schedule or scope.

5. Scope changes and delivery

Requests outside the agreed scope—including additional features, integrations, revisions, platforms, or campaigns—require written agreement on any additional fees and revised deadlines.

Delivery dates depend on the assumptions and responsibilities stated in the project agreement. We will communicate material delays and discuss reasonable adjustments.

Review periods, acceptance criteria, and included revisions will be specified in the project agreement. Unless expressly agreed, silence does not constitute acceptance of a deliverable.

6. App publishing and third-party platforms

App stores, advertising networks, affiliate platforms, hosting providers, and other third-party services operate under their own terms and approval processes.

We may assist with submissions and compliance-related changes within the agreed scope, but we do not guarantee:

  • App store approval or a particular review timeline.
  • Continued availability of an application or account.
  • Approval of advertisements or affiliate programmes.
  • Uninterrupted operation of third-party services.

You remain responsible for third-party accounts held in your name and associated charges. Changes required by a platform after delivery may require a separate agreement.

7. Marketing and performance

We do not guarantee specific revenue, downloads, rankings, leads, conversion rates, affiliate earnings, or return on advertising spend.

Projections and estimates are planning tools, not promises. Results depend on factors including budget, competition, product quality, audience behaviour, platform changes, and market conditions.

Each party is responsible for complying with laws and platform rules applicable to its activities. Campaign responsibilities—including substantiation of advertising claims, affiliate disclosures, permissions, and tracking consent—will be allocated in the project agreement.

Neither party may require the other to publish deceptive advertising, fabricated reviews, or unlawful promotional material.

8. Intellectual property

Your materials

You retain ownership of materials you provide. You grant us permission to use them only as reasonably necessary to perform the services.

Project deliverables

Unless the project agreement states otherwise, upon full payment we assign to you our transferable rights in the final custom deliverables created specifically for your project.

Source code, design files, documentation, and account handover requirements should be identified in the project agreement.

Our existing materials

We retain ownership of pre-existing tools, templates, libraries, methods, and general know-how.

Where our existing materials are incorporated into a paid final deliverable, we grant you a perpetual, worldwide, non-exclusive licence to use and modify those materials as part of that deliverable, including through your service providers.

Third-party materials

Open-source software, stock assets, and other third-party components remain subject to their respective licences. We cannot transfer ownership of materials we do not own.

We will obtain your permission before using your name, logo, or non-public project materials in our portfolio.

9. Confidentiality

Each party will protect the other’s non-public business, technical, financial, and project information using reasonable care.

Confidential information may be shared with personnel, contractors, and advisers who need it for the engagement and are subject to appropriate confidentiality obligations.

This restriction does not apply to information that is publicly available without breach, already lawfully known, independently developed, or lawfully received from another source.

Disclosure required by law is permitted. Where legally allowed, the disclosing party will provide advance notice.

10. Privacy and client data

Our Privacy Policy explains how we handle personal information in connection with the Website and our own business activities.

If a project requires us to process personal information on your behalf, the parties will agree on appropriate data handling terms, including a data processing agreement where required.

You must have the necessary authority to provide personal information or authorise access to it. We will use client personal information only as permitted by the applicable agreement and law.

11. Website use

You must not use the Website to:

  • Violate applicable law or another person’s rights.
  • Upload malicious code or interfere with security.
  • Attempt unauthorised access to systems or information.
  • Impersonate another person or submit fraudulent enquiries.
  • Copy or exploit Website content without permission, except as permitted by law.

Website text, branding, graphics, and other content belong to Viralon or its licensors. You may view the Website for legitimate personal or business purposes.

12. Cancellation and termination

Either party may end an engagement as permitted by the project agreement or by mutual written agreement.

Either party may terminate for a material breach that remains unresolved for 14 days after written notice describing the breach. Immediate suspension or termination may be appropriate where continuing would be unlawful or create a material security risk.

Unless otherwise agreed, on termination:

  • You must pay for work properly performed up to termination and approved, non-cancellable third-party commitments.
  • We will refund prepaid amounts attributable to services not performed, less amounts legitimately due.
  • We will provide paid-for completed deliverables and reasonably cooperate with returning client materials and revoking access.

Additional transition work requires agreement on scope and fees. Nothing in this section limits mandatory cancellation or refund rights.

13. Support and maintenance

Ongoing maintenance, hosting, monitoring, operating system compatibility updates, security updates, and post-delivery support are included only where expressly stated in the project agreement.

Any warranty period or commitment to correct defects will also be specified in that agreement.

14. Warranties and disclaimers

We will perform agreed services with reasonable care and skill.

Except for express commitments in the project agreement and rights that cannot lawfully be excluded, the Website and services are provided without additional warranties, to the extent permitted by law.

We do not warrant that the Website, third-party services, or delivered software will always be uninterrupted or entirely error-free.

15. Limitation of liability

To the extent permitted by law, neither party is liable to the other for indirect or consequential losses, or lost profits, revenue, or business opportunities arising from an engagement.

Each party’s total liability arising from a project is limited to the total fees paid or payable under the relevant project agreement.

These limitations do not apply to fraud, wilful misconduct, your obligation to pay agreed fees, or liability that cannot lawfully be limited. They do not restrict remedies available under mandatory consumer protection law.

16. Events outside reasonable control

Neither party is responsible for delays caused by events outside its reasonable control, such as natural disasters, widespread network failures, or government restrictions.

The affected party will give reasonable notice and take reasonable steps to reduce the impact. This provision does not excuse payment for services already performed.

If the disruption materially prevents completion, the parties will discuss an adjusted schedule or termination and an appropriate financial settlement.

17. Governing law and disputes

These Terms are governed by Delaware law, excluding its conflict-of-law rules, subject to any mandatory protections that apply to you.

The parties will first attempt to resolve disputes through good-faith discussions. Unless a project agreement provides otherwise, disputes will be brought in state or federal courts located in Delaware, where legally permitted.

Nothing in these Terms removes any mandatory right to bring a claim in another jurisdiction.

18. Changes to these Terms

We may update these Terms and publish the revised version with a new effective date.

Updated Terms apply to new engagements and future activities where validly accepted. They do not change an existing project agreement without the parties’ agreement.

19. General provisions

These Terms and the relevant project agreement form the agreement concerning their subject matter.

If a provision is found unenforceable, the remaining provisions continue in effect. A failure to enforce a provision does not waive the right to enforce it later.

No partnership, employment relationship, or joint venture is created by these Terms.
